These Terms and Conditions ("Terms") govern the use of the AdMate Ad Automation Plugin ("AdMate"). By installing and using AdMate, you agree to comply with these Terms.
1. Overview of AdMate
1.1 AdMate is an ad automation plugin designed for Shopify merchants. It simplifies ad campaign management and optimization.
1.2 To use AdMate, you must have an active Shopify store. AdMate integrates directly with your Shopify account to automate your advertising effort
2. Account Setup and Eligibility
2.1 Shopify Requirement: You must maintain an active Shopify account to use AdMate.
2.2 AdMate Account: By installing AdMate, you grant AdMate permission to access your Shopify store data for campaign setup, ad optimization, and reporting purposes.
2.3 Eligibility: You must be at least 18 years old or the legal age of majority in your jurisdiction to use AdMate.
3. Campaign Charges
3.1 General Payment Terms: Charges for AdMate services are processed through Shopify's billing system. The Merchant specifies the total budget for each campaign, which includes a 5% AdMate service fee.
3.2 Budget Allocation:
- The 5% service fee is deducted from the total combined budget of all active campaigns, and the remaining 95% is allocated for ad spend.
3.3 Payment Timing:
- Initial Charge: When a campaign is created, the full budget (including the 5% service fee) is charged immediately.
- Recurring Charge: At the start of each billing cycle, AdMate charges 5% of the total budget for all active campaigns. Payments are processed via Shopify’s billing system and appear on the Merchant’s Shopify invoice under the "Apps" section.

3.4 Monthly Charges:
Charges will incur if there is active campaign(s) for your Shopify Store. Below are scenarios to illustrate how charges are calculated and processed:
3.4.1 Campaign Created in Month 1:
- Scenario 1: New Campaign Created in Month 2
- Scenario 2: No New Campaign Created in Month 2
- Scenario 3: Merchant Requested to Pause Campaign in Month 2
3.5 Refunds: Payments made are non-refundable unless explicitly agreed upon.
4. Newsletter Subscription
4.1 Automatic Subscription: By installing and using AdMate, you are deemed to have subscribed to the AdMate newsletter.
4.2 Purpose of the Newsletter: The newsletter provides product updates, advertising tips, feature announcements, and promotional offers related to AdMate.
4.3 Opt-Out: You can unsubscribe from the newsletter at any time by clicking the "Unsubscribe" link in any email or contacting us at hello@admate.ai. However, unsubscribing from the newsletter does not impact your use of the Plugin or any required service-related communications.
4.4 Data Usage: Your email and any relevant personal data will be used in accordance with our Privacy Policy, which complies with applicable data protection regulations.
5. AdMate Responsibilities
5.1 Automation: AdMate automates the creation, management, and optimization of ad campaigns based on the budget provided by the Merchant.
5.2 Optimization: AdMate reserves the right to adjust ad parameters to optimize performance, in line with the Merchant's budget and goals.
5.3 Reporting: AdMate provides campaign performance reports accessible through the AdMate dashboard.
6. Merchant Responsibilities
6.1 Accurate Information: Merchants must provide accurate campaign and budget details.
6.2 Enquiries and Requests: For any inquiries or support, Merchants shall reach out to AdMate via email at hello@admate.ai.
7. Suspension or Termination
7.1 AdMate reserves the right to suspend or terminate your access to the Plugin for:
- Violation of these Terms
- Failure to make timely payments
- Any misuse of the Plugin
8. Limitation of Liability
AdMate provides services on an "as is" basis. While we strive to deliver optimal ad performance, we do not guarantee specific results or return on investment (ROI). AdMate is not liable for:
- Loss of sales or profits
- Errors in campaign setup caused by inaccurate data provided by the Merchant

10. Changes to Terms
AdMate may update these Terms from time to time. Continued use of AdMate after updates constitutes your acceptance of the revised Terms.
By using AdMate, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please discontinue use of AdMate.
